Welcome to Special Dealers (the “Platform,” “we,” “us,” or “our”). Special Dealers is a company of Marco Ideas LLC. These Terms and Conditions (“Terms”) govern your access to and use of the website located at [www.specialdealers.com] (including any mobile versions, applications, or related services) operated by Special Dealers and Marco Ideas LLC.

BY ACCESSING, BROWSING, REGISTERING FOR AN ACCOUNT, OR USING THE PLATFORM IN ANY WAY, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS. If you do not agree with these Terms, you must not access or use the Platform.

We may modify these Terms at any time. We will provide notice of material changes (e.g., by posting the updated Terms on the Platform and updating the “Last Updated” date). Your continued use of the Platform after such changes constitutes your acceptance of the revised Terms.

1. Description of the Platform

Special Dealers is an online advertising and listing service that allows:

• Individual users (“Private Sellers”) and
• Registered dealerships (“Dealers”)

to create accounts and upload listings for vehicles they own or have the legal right to sell (“Vehicle Listings” or “Listings”).

Special Dealers is not a vehicle broker, dealer, auction house, lender, insurer, or party to any vehicle sale transaction. We provide only a platform for advertising and connecting potential buyers and sellers. We do not:

• Buy, sell, lease, or negotiate the sale of vehicles
• Guarantee any vehicle, listing accuracy, transaction, delivery, title transfer, or payment
• Collect payments, hold funds, or handle title/registration on behalf of users
• Verify the identity, creditworthiness, or legitimacy of users or vehicles (beyond basic account checks)

All transactions occur directly between sellers and buyers. You are solely responsible for any deal you enter into.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and legally capable of entering into contracts to use the Platform. By registering, you represent and warrant that you meet these requirements.

Dealers represent that they are duly licensed motor vehicle dealers (where required by law) and will comply with all applicable dealer regulations.

3. User Accounts

To upload Listings, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use
• Be responsible for all activity under your account

We reserve the right to suspend or terminate accounts for any reason, including suspected fraud, violation of these Terms, or inactivity.

4. Vehicle Listings and User Content

You are solely responsible for all content you upload or post (“User Content”), including photos, descriptions, prices, vehicle history, condition statements, and contact information.

By posting a Listing, you represent and warrant that:

• You own the vehicle or have full legal authority to sell it and transfer title
• All information in the Listing is accurate, complete, current, and not misleading
• The vehicle matches the description (including mileage, condition, damage history, title status, etc.)
• The price is the actual asking price (or clearly disclosed if negotiable)
• You will remove or update the Listing within 72 hours after the vehicle is sold or withdrawn
• Photos show only the listed vehicle (no people, animals, or unrelated objects unless integral)

Prohibited Content includes (without limitation):

• False, fraudulent, deceptive, or bait-and-switch listings
• Vehicles you do not have possession of or authority to sell
• Spam, pyramid schemes, or unrelated promotions
• Discriminatory, harassing, obscene, or illegal content
• Listings that violate any law (including odometer fraud, salvage/title washing, etc.)

We may (but have no obligation to) review, remove, edit, or refuse any User Content at our sole discretion without notice or liability.

5. Our Role – No Warranty on Vehicles or Transactions

SPECIAL DEALERS PROVIDES THE PLATFORM “AS IS” AND “AS AVAILABLE.” WE MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND REGARDING:

• The accuracy, completeness, reliability, or legality of any Listing
• The quality, safety, roadworthiness, or condition of any vehicle
• The honesty, ability, or intent of any user
• The outcome of any inquiry, negotiation, or transaction

You acknowledge that vehicle purchases involve risk. Always inspect vehicles in person, verify title/history (e.g., via Carfax/VIN checks), and use caution before depositing money or signing documents.

6. Prohibited Conduct

You agree not to:

• Use the Platform for any illegal purpose
• Impersonate any person or entity
• Harass, threaten, or stalk other users
• Scrape, crawl, or copy data without permission
• Introduce viruses, malware, or harmful code
• Circumvent, disable, or interfere with security features
• Post duplicate or substantially similar listings for the same vehicle

7. Fees and Payments (If Applicable)

Certain features (e.g., premium listings, highlighted ads, dealer packages) may require payment. Fees are non-refundable unless expressly stated. You authorize us to charge your selected payment method. All fees exclude applicable taxes, which you are responsible for.

8. Intellectual Property

The Platform (design, text, graphics, software) is owned by Special Dealers or its licensors and protected by copyright, trademark, and other laws. You are granted a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose only.

You retain ownership of your User Content but grant us a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, display, reproduce, distribute, and modify it in connection with operating, promoting, and improving the Platform.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPECIAL DEALERS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO:

• Use of or inability to use the Platform
• Any transaction or vehicle
• Unauthorized access to your account or data
• Any conduct of any third party

Our total liability shall not exceed the amount you paid us (if any) in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Special Dealers and its affiliates from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Platform, your User Content, your violation of these Terms, or your violation of any law or third-party rights.

11. Termination

We may suspend or terminate your access at any time, without notice, for any reason (including suspected violation of these Terms). Upon termination, your right to use the Platform ends immediately, but provisions that by nature should survive (e.g., warranties, liability, indemnification) remain in effect.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Bexar County, Texas. You agree to submit to the personal jurisdiction of such courts.

Class Action Waiver: You agree that any claims must be brought individually and not as part of any class, collective, or representative action.

13. Miscellaneous

• Entire Agreement — These Terms (together with our Privacy Policy) constitute the entire agreement.
• Severability — If any provision is held invalid, the remainder remains in effect.
• No Waiver — Failure to enforce any right does not waive it.
• Assignment — We may assign these Terms; you may not assign without our consent.
